These Terms of Use (“Terms”) govern your access to and use of the website www.insightmatrix.com (“Website”), and the services, insights, reports, and tools (“Services”) offered by Insights Matrix Private Limited (“InsightMatrix”/“we”/“our”/“us”). By using the Website or any part of the Services, you (“you”/“User”) agree to be bound by these Terms, our Privacy Policy, and any other supplemental terms that may apply.

InsightMatrix Services, including AI/ML-based insights, risk scoring, and dashboards, are intended for informational purposes only and are not substitutes for independent professional judgment, statutory filings, or regulated financial/legal advice. We rely on third-party data sources, and disclaim responsibility for inaccuracies, delays, or omissions therein. Services are provided on an ‘as-is, as-available’ basis, without any guarantee of uninterrupted access or accuracy. Our total liability under these Terms shall be limited to the fees paid by the client in the preceding twelve (12) months. Users agree to use the Services only for lawful purposes, ensure that any data they provide is lawfully obtained, and acknowledge that beta features or trial services are offered without warranties and may be withdrawn at any time.

If you do not agree with any of these Terms, please do not access or use the Website or Services.

I. DEFINITIONS

For the purposes of these Terms of Use, the following definitions shall apply:

·       “Services” refer to all products, solutions, and deliverables provided by InsightMatrix, including but not limited to media monitoring, media analysis, strategic insights, automated reports, real-time dashboards, APIs, data analytics outputs, proprietary methodologies, and all associated digital tools, platforms, and support services offered to clients.

·       “User” means any individual, legal entity, client representative, or third party who accesses, browses, subscribes to, or utilizes any part of the Website, Services, or Content provided by InsightMatrix.

·       “Content” includes, without limitation, all text, data, graphics, visualizations, infographics, summaries, software code, platform outputs, reports, algorithmic results, and other media or material—whether generated by InsightMatrix or uploaded by Users—accessible through or derived from the use of the Services.

 II. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

The information, insights, and analytics presented by InsightMatrix are for general informational purposes only and are not intended as legal, regulatory, financial, investment, or professional advice.

While we use proprietary methodologies, technologies, and third-party sources to provide accurate and relevant media monitoring and media analysis services, InsightMatrix does not guarantee the timeliness, accuracy, completeness, or reliability of any content or recommendation. Interpretations and assessments made by InsightMatrix are based on contextual media inputs and are inherently subjective.

Use of any Service or reliance on any information provided by InsightMatrix is entirely at your own risk. We shall not be liable for any direct, indirect, incidental, consequential, or special loss or damage, including loss of business, data, or reputation, arising from the use or misuse of the Website or Services.

III. INTELLECTUAL PROPERTY AND USE RESTRICTIONS

All proprietary technologies, content, methodologies, algorithms, dashboards, data scoring systems, media intelligence tools, visualizations, and analytical frameworks developed, owned, or deployed by InsightMatrix in the course of providing media monitoring and media analysis services are protected under applicable intellectual property and data protection laws. These materials constitute the exclusive intellectual property of InsightMatrix, whether developed internally or licensed for use.

Users are expressly prohibited from:

  • Copying, reproducing, modifying, adapting, translating, distributing, publishing, or repurposing any content, report, dashboard, or analytical output generated by InsightMatrix;
  • Using automated bots, crawlers, or data scraping tools to access, extract, or download content, datasets, or scoring models from the InsightMatrix platform;
  • Reverse-engineering, disassembling, or attempting to replicate any part of InsightMatrix’s proprietary media scoring algorithms, analytics infrastructure, or data classification processes;
  • Reselling, sublicensing, or commercially exploiting any portion of InsightMatrix’s reports, tools, or Services without written authorization;
  • Engaging in any activity that constitutes unauthorized access, misuse, or disruption of the platform, including attempts to bypass access controls or inject malicious code;
  • Using the Services or content for illegal, defamatory, misleading, unethical, or competitive intelligence purposes.

Any unauthorized use of InsightMatrix’s intellectual property or Services constitutes a material breach of these Terms and may result in immediate termination of access, legal action, and/or claims for injunctive relief and monetary damages.

IV. ACCOUNT SECURITY AND LOGIN TERMS

You are solely responsible for maintaining the confidentiality and integrity of your login credentials and account information. You agree to take all reasonable steps to prevent unauthorized access to your account, including safeguarding passwords and using secure devices. Any activity occurring under your account will be presumed to be authorized by you unless and until you notify InsightMatrix in writing of any suspected unauthorized access or security breach. InsightMatrix shall not be liable for any loss or damage arising from your failure to comply with these obligations.

 VII. SUBSCRIPTIONS, PRICING, AND REFUND POLICY

All pricing, subscription models, and billing terms for InsightMatrix Services will be communicated at the time of engagement or through a written agreement. Subscriptions may renew automatically unless cancelled before the renewal date. Users are responsible for all applicable taxes and timely payment of invoices. InsightMatrix reserves the right to modify pricing, suspend services for non-payment, or terminate access in cases of misuse or billing violations.

VIII. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless InsightMatrix, its directors, officers, employees, affiliates, licensors, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use or misuse of the Services or Website;
  • Your breach of these Terms of Use or any applicable law or regulation;
  • Any content or data you submit, upload, or transmit through the Services;
  • Any infringement or violation of third-party rights, including intellectual property, privacy, or contractual rights.

InsightMatrix reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with such defense.

  1.  MONITORING AND ENFORCEMENT

InsightMatrix reserves the right, but not the obligation, to monitor, review, and audit all access to and use of its platform, systems, and Services to ensure compliance with these Terms, applicable laws, and security protocols. We may investigate any suspected misuse, breach of security, unlawful activity, or violation of these Terms, and take appropriate action, including without limitation:

  • Restricting or limiting functionality;
  • Temporarily suspending access;
  • Permanently terminating accounts; and/or
  • Reporting such activity to relevant legal, regulatory, or enforcement authorities.

Any such actions may be taken at InsightMatrix’s sole discretion, without prior notice, and without liability to you.

  1. TERM AND TERMINATION

These Terms shall remain in full force and effect until terminated in accordance with this clause.

  • Termination by You: You may discontinue use of the Website or Services at any time by ceasing all access and, where applicable, closing your account.
  • Termination by InsightMatrix: We may, at our sole discretion and without prior notice, suspend, restrict, or permanently revoke your access to the Website or Services for any reason, including but not limited to actual or suspected fraud, abuse, security threats, non-payment, or breach of these Terms or applicable laws.
  • Survival: Termination shall not affect any rights, obligations, or liabilities accrued prior to termination, and any provisions of these Terms which, by their nature, should survive termination (including, without limitation, confidentiality, intellectual property, disclaimers, and indemnities) shall remain in effect.
  1. COUNTRY-SPECIFIC ACCESS AND COMPLIANCE

InsightMatrix is headquartered in India and primarily serves clients within India. Access to the Website or Services from outside India is permitted; however, Users accessing the Services from other jurisdictions are solely responsible for ensuring compliance with all applicable local laws, regulations, and restrictions, including but not limited to data protection and privacy requirements, content usage restrictions, and cross-border data transfer or export/import controls. InsightMatrix makes no representation that its Services are appropriate, lawful, or available for use in all locations, and access from territories where the Services are prohibited is not permitted.

XII. DISPUTE RESOLUTION AND ARBITRATION

All disputes, controversies, or claims arising out of or relating to these Terms shall first be resolved amicably through good faith discussions between the parties within thirty (30) days of written notice of the dispute. If the dispute cannot be resolved within this period, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, in English, with the seat and venue of arbitration in New Delhi, India. The arbitral award shall be final, binding, and enforceable in accordance with applicable laws. Subject to the arbitration process, the courts at New Delhi, India shall have exclusive jurisdiction.

XIII. FORCE MAJEURE

InsightMatrix shall not be held liable or deemed in default for any delay, interruption, or failure to perform its obligations under these Terms if such delay or failure results from causes beyond its reasonable control. Such events include, but are not limited to, acts of God, natural disasters, pandemics, epidemics, governmental actions or regulations, wars, civil unrest, labor disputes, power failures, internet or telecommunication disruptions, cyberattacks, or any other similar events that could not have been reasonably foreseen or prevented. In such cases, performance shall be excused for the duration of the event, and InsightMatrix shall use reasonable efforts to resume performance as soon as practicable.

 XIV. MODIFICATIONS TO TERMS

InsightMatrix may, at its sole discretion, modify, amend, or update these Terms from time to time to reflect changes in legal requirements, business operations, or the Services offered. Any such changes will be effective upon posting on the Website, unless otherwise specified. Your continued access to or use of the Website or Services after the effective date of the revised Terms shall constitute your acceptance of such changes. It is your responsibility to review these Terms periodically to remain informed of any updates.
